Inland Empire Off Road Association

By-Laws Established September 2005

 

ARTICLE I: NAME

 The name of this organization shall be the Inland Empire Off Road Association.

ARTICLE II: PURPOSES AND AIMS

 This organization shall be non-profit in character, bringing together and promoting the interest of family- friendly off roading. The Association recognizes a variety of family structures, including individuals.

ARTICLE III: MEMBERSHIP AND DUES

1)   Membership is open to all persons interested in off road recreation.

2)   Members must agree to abide by Association guidelines which will be established as needed to promote enjoyable and safe off road activities.  These guidelines shall be printed on the membership application.

3)   Dues for this organization shall be $35.00 annually.

4)   Payment of dues provides a subscription to the monthly club newsletter, and allows the individual to become a member in good standing.  Payment of dues in no way obligates the Association to provide any additional services or guarantees of any sort.

5)        Dues for the Association shall be due and payable on the anniversary of the previous year’s membership.  To remain a member in good standing, an Association member must pay his/her dues within 30 days of the due date or membership rights will be suspended.

6)        Immediate family members (spouse or other partner and dependent children residing in the same household) shall have all the rights of the member.

7)        A member may be denied good standing status only for just cause, and then only by a three quarter majority vote of members present at two consecutive general meetings.  Notice of such a vote must be given in the monthly newsletter at least four weeks before the initial vote, and again four weeks before the second vote.  If a member loses good standing status, a pro-rated portion of the annual dues shall be refunded.

ARTICLE IV: OFFICERS AND DUTIES

1)        The officers of the Association shall be the President, Vice President, Secretary, Treasurer, Reporter, and Webmaster. Any of these offices may be assisted by other club members by request.

2)         The President shall be the executive officer and will preside at all meetings. He/she shall have the duty of carrying out the policies and decisions of the members.

3)        The Vice-President shall assist the President and act on his/her behalf in case of the President's absence.

4)        The Secretary shall write any correspondence as directed, and maintain membership records.

5)         The Treasurer shall receive all club monies; be responsible for the bank deposits; disburse funds as authorized by the Board of Directors; and have the books open for inspection by any club members and give a report at each meeting. This position may be combined with the Secretary position.

6)        The Reporter shall produce a monthly newsletter with the assistance of other Association members.  This newsletter shall be the official record of all Association activities.

7)        The Webmaster shall maintain a club presence on the internet. This position may be combined with any officer position.

ARTICLE V: BOARD OF DIRECTORS

The Officers of the Association as well as any Board members elected by the general membership shall constitute the Board of Directors and will have the power and responsibility to manage the day-to-day business of the Association.  The Board of Directors shall meet monthly, and general members are always encouraged to attend and participate in these meetings.

 

ARTICLE VI: MEETINGS

1)        General Meetings shall be held monthly at a location and date and time determined by the Board of Directors.

2)        Board of Director Meetings shall be held monthly at a location and date and time determined by the Board of Directors, and may be held in conjunction with General Meetings.

3)        The location, date, and time of meetings shall be published in the monthly newsletter at least four weeks prior to the scheduled meeting.

4)        A quorum for Board of Director meetings shall be four Board members.

5)        A quorum for general membership meetings shall be four Board members and at least two additional association members, who may be Board members.

   ARTICLE VII: ELECTIONS AND VOTING

1)        Nominations and elections for Officers shall occur at the January meeting each year.

2)        A simple majority of the votes cast shall be required to win an election. The Board of Directors may make appropriate rules to deal with situations where a candidate does not gain a majority on the first vote.

3)        Members must be in good standing and present to vote on any matter. 

4)        Members must be present and in good standing to be nominated for any office, unless they have submitted a written request for nomination before the nomination and election meeting. 

5)        In the event only one candidate is nominated for an office, the members present may elect the candidate by proclamation.

6)        Officers-elect will take possession of their offices at the conclusion of the meeting at which they are elected.

ARTICLE VIII: AMENDMENTS TO  BY-LAWS

These By-Laws may be amended by a simple majority of the votes cast at a general meeting. The membership shall be notified of proposed By-law changes via the monthly newsletter at least four weeks prior to taking the vote. Amendments may be proposed by the Board of Directors or by petition signed by at least three members or by ten percent of the membership, whichever is the greater.
